1 Definitions
Throughout these Terms, the following definitions apply:
- "netnow," "Company," "we," "us," or "our" refers to netnow LLC, a Delaware limited liability company.
- "Service" refers to the netnow proxy access platform, including the website at
netnow.net, the application atapp.netnow.net, the API atapi.netnow.net, and all related services. - "User," "you," or "your" refers to any individual or entity that accesses or uses the Service.
- "Token" refers to the unique cryptographic credential generated to identify and authenticate a User's account.
- "Account Credit" or "Credit" refers to prepaid balance deposited by a User to fund proxy data purchases.
- "Data Allocation" or "Allocation" refers to a purchased quantity of proxy bandwidth assigned to a User's account or proxy pool.
- "Proxy Pool" refers to a network of residential IP addresses sourced from a specific upstream provider, available through the Service.
- "Upstream Provider" refers to the third-party residential proxy networks (e.g., BrightData, Smartproxy, NetNut) whose infrastructure underpins the Service's proxy pools.
2 Acceptance of Terms
By accessing, browsing, or using the Service in any way — including generating a Token, purchasing data, or making API calls — you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and our Acceptable Use Policy, all of which are incorporated herein by reference.
If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and that "you" shall refer to both you individually and the organization.
3 Description of Service
netnow provides token-based access to residential proxy networks. The Service allows Users to:
- Generate a unique access Token without providing personal account credentials;
- Purchase prepaid proxy data in the form of Allocations across one or more Proxy Pools;
- Route HTTP/HTTPS and SOCKS traffic through residential IP addresses sourced from Upstream Providers;
- Configure session types (rotating or sticky), target countries, and other proxy parameters via the proxy string format;
- Manage sub-users, data quotas, and proxy configurations via the dashboard and API.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
4 Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:
- You are at least 18 years old;
- You have the legal capacity to enter into a binding contract;
- Your use of the Service does not violate any applicable law or regulation in your jurisdiction;
- You are not located in, or a national or resident of, any country subject to a U.S. government embargo or designated as a "terrorist supporting" country;
- You are not listed on any U.S. government list of prohibited or restricted parties.
We reserve the right to refuse service, terminate accounts, or cancel transactions at our sole discretion.
5 Accounts & Tokens
Access to the Service is granted through a Token, which serves as the sole identifier and authenticator for your account. You agree to:
- Keep your Token strictly confidential and secure;
- Not share, sell, transfer, or disclose your Token to any third party without our express written consent;
- Take full responsibility for all activity conducted using your Token, whether or not authorized by you;
- Notify us immediately at [email protected] if you suspect your Token has been compromised.
Because the Service is token-based, we have no way to verify ownership of a Token beyond possession. If you lose your Token, access to your account and any remaining Credit balance is permanently lost. We are not obligated to recover, regenerate, or transfer balances associated with a lost Token. You are solely responsible for securely storing your Token.
We reserve the right to suspend or terminate a Token at any time if we have reason to believe it is being used in violation of these Terms.
6 Payments & Credits
The Service operates on a prepay model. All proxy data usage is funded by Account Credit purchased in advance.
6.1 Payment Methods
We accept major credit and debit cards (Visa, Mastercard, American Express) processed by Stripe, and cryptocurrency payments processed by Cryptomus. By submitting a payment, you authorize us to charge the stated amount through the selected payment method.
6.2 Account Credit
Account Credit deposited by a User is non-refundable under all circumstances. By depositing funds — whether fiat currency or cryptocurrency — into your account, you acknowledge and agree that the deposited amount becomes the property of netnow LLC upon receipt and is not subject to chargeback, reversal, or refund. This policy exists due to the immediate conversion of fiat deposits into proxy data capacity at upstream providers.
6.3 Data Allocations
Purchased Data Allocations do not expire. The purchased data remains credited to your account until fully consumed. We do not impose monthly resets or time-based expiry on purchased data. However, if your account Token is terminated for a Terms violation, any remaining balance is forfeited.
6.4 Pricing
All prices are quoted in United States Dollars (USD) unless otherwise stated. Prices are subject to change at any time. Any price change will apply to purchases made after the change takes effect. We are not responsible for currency exchange rates or fees charged by your payment provider.
6.5 Taxes
You are solely responsible for any taxes, levies, duties, or other governmental assessments associated with your purchase and use of the Service. We are not responsible for withholding, collecting, reporting, or remitting any tax arising from your transactions.
7 Refund Policy
All purchases of Account Credit and Data Allocations are final and non-refundable. We do not offer refunds, credits, or exchanges for any purchased amounts under any circumstances, including but not limited to:
- Unused or partially used data allocations;
- Dissatisfaction with proxy performance, speed, or success rates;
- Voluntary termination of your account;
- Upstream provider outages or service interruptions;
- Changes to pricing or service features.
Notwithstanding the foregoing, we may, at our sole and absolute discretion, issue a one-time goodwill credit in cases of verified technical failure directly attributable to netnow's infrastructure. Any such determination is final. Please contact [email protected] to report such an issue.
Chargebacks: If you initiate a chargeback or payment dispute with your financial institution or payment provider, we reserve the right to immediately suspend or permanently terminate your account and any associated Tokens. You agree that any chargeback filed against a completed transaction for which services were rendered constitutes a breach of these Terms and may be pursued as fraud.
8 Acceptable Use & Prohibited Activities
Your use of the Service is governed by our Acceptable Use Policy ("AUP"), which is incorporated into these Terms by reference and forms a binding part of your agreement with netnow. The AUP sets out in detail:
- Permitted uses of the Service, including data collection, ad verification, SEO monitoring, software testing, and privacy protection;
- Prohibited activities, including illegal activity, credential attacks, spam, malware distribution, child exploitation, harassment, fraud, privacy violations, intellectual property infringement, and service abuse;
- Obligations relating to Upstream Provider compliance;
- How to report abuse and how we enforce violations;
- Specific rules for security research and automated/API access.
A violation of the AUP is a violation of these Terms and may result in immediate suspension or termination of your account in accordance with Section 15 (Termination). Please read the Acceptable Use Policy carefully before using the Service.
9 Prohibited Activities (Summary)
Without limiting the full scope of the Acceptable Use Policy, the following activities are strictly prohibited and constitute a material breach of these Terms:
- Illegal activity: Any activity violating applicable law, including fraud, money laundering, identity theft, or unauthorized computer access;
- Credential stuffing & account takeover: Automated attempts to gain unauthorized access to third-party accounts or systems;
- Spam & unsolicited communications: Sending bulk unsolicited email, SMS, or other messages in violation of CAN-SPAM, TCPA, GDPR, or equivalent law;
- Malware & cyberattacks: Distributing malicious code or conducting denial-of-service attacks;
- Child exploitation: Any activity involving CSAM or exploitation of minors;
- Harassment & stalking: Surveilling, threatening, or harassing individuals;
- Fraud & deception: Impersonation, click fraud, or fake review schemes;
- Privacy violations: Harvesting PII in violation of applicable data protection law;
- Sanctions violations: Circumventing international sanctions or export controls;
- Resale without authorization: Reselling or sublicensing proxy access without our express written consent;
- Reverse engineering: Attempting to extract source code or infrastructure details of the Service.
This summary does not replace the AUP. We reserve the right to determine, in our sole discretion, whether any use constitutes a violation of these Terms or the AUP.
10 Intellectual Property
All content, software, trademarks, service marks, logos, and other intellectual property on or comprising the Service — including the netnow name, brand, and platform code — are owned by or licensed to netnow LLC. Nothing in these Terms grants you any right, title, or interest in or to the Service or our intellectual property other than the limited right to use the Service in accordance with these Terms.
You may not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, or exploit any portion of the Service for any commercial purpose without our prior written consent.
11 Third-Party Providers
The Service relies on Upstream Providers (including but not limited to BrightData, Smartproxy, and NetNut) to supply the residential IP addresses that comprise our Proxy Pools. netnow acts as a reseller and intermediary; we do not own or control the underlying IP infrastructure.
You acknowledge that:
- Proxy pool availability, performance, and geographic coverage may change at any time due to upstream provider decisions outside our control;
- Specific pools may be added, modified, or removed without notice;
- netnow is not responsible for the acts or omissions of Upstream Providers;
- Your use of certain upstream networks may be subject to those providers' own acceptable use policies.
We also use third-party services for payment processing (Stripe, Cryptomus) and infrastructure. Use of these services is subject to their respective terms and privacy policies.
12 Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NETNOW EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR DATA;
- WARRANTIES THAT ANY SPECIFIC PROXY POOL WILL SUCCESSFULLY BYPASS ANY PARTICULAR WEBSITE'S DETECTION MECHANISMS.
PROXY SUCCESS RATES VARY BY TARGET WEBSITE AND ARE NOT GUARANTEED. NETNOW MAKES NO REPRESENTATION THAT ANY PROXY POOL WILL FUNCTION WITH ANY SPECIFIC TARGET.
13 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NETNOW LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY;
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR USE OF YOUR TOKEN OR ACCOUNT;
- DAMAGES ARISING FROM INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICE;
- DAMAGES ARISING FROM YOUR RELIANCE ON ANY CONTENT OR INFORMATION OBTAINED THROUGH THE SERVICE.
IN NO EVENT SHALL NETNOW'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO NETNOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.
14 Indemnification
You agree to indemnify, defend, and hold harmless netnow LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to the Service;
- Your violation of these Terms;
- Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights;
- Your violation of any applicable law or regulation;
- Any content or data you transmit through the Service.
We reserve the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.
15 Termination
We may suspend or terminate your access to the Service, including your Token and any associated Data Allocations, at any time and for any reason, including but not limited to:
- Violation of these Terms or our Acceptable Use Policy;
- Fraudulent, abusive, or illegal activity;
- Initiation of a chargeback or payment dispute;
- Extended inactivity;
- Our decision to discontinue the Service.
Upon termination, your right to use the Service immediately ceases. Any remaining Account Credit or Data Allocations are forfeited upon termination for cause. We have no obligation to notify you prior to termination.
You may discontinue use of the Service at any time. There is no cancellation process; simply ceasing use of your Token is sufficient.
16 Governing Law
These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
17 Dispute Resolution
Informal Resolution: Before filing any formal legal action, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.
Arbitration: If the dispute is not resolved informally, you agree that any claim, dispute, or controversy arising out of or related to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Exception: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
18 Modifications to These Terms
We reserve the right to update or modify these Terms at any time at our sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
We encourage you to review these Terms periodically. If you disagree with any changes, your sole remedy is to stop using the Service.
